FlexAbilities – Terms of Use and Sales Policy

These Terms of Use and Sales Policy (“Terms”) govern your access to and use of the FlexAbilities websites, including www.flex-abilities.com
and any related subdomains, content, products, and services (collectively, the “Site” or “Services”).
By accessing or using the Site, purchasing any digital products or subscriptions, or clicking “I agree” (or similar), you agree to be bound by these Terms. If you do not agree, you must not use the Site or Services.

1. Company / Service Provider Information. The Site and Services are operated by FlexAbilities (“FlexAbilities,” “we,” “our,” or “us”). “FlexAbilities” is used as our business and brand name regardless of our underlying legal form. 2. Eligibility & Accounts. You must be at least 18 years old (or the age of majority in your jurisdiction) to purchase a subscription or digital product. If you are under 18, you may only use the Services with the consent and supervision of a parent or legal guardian, and that adult is responsible for all activity under the account. You agree that the information you provide to us (such as name, email address, and payment information) is accurate, complete, and kept up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
​3. Digital Products, Subscriptions & Access. 3.1 Nature of Products. FlexAbilities provides digital products and services, including but not limited to: Online videos and video libraries. PDF downloads, digital guides, and other documents. Membership or subscription-based access to online content. All products and Services are delivered digitally. No physical goods are shipped. 3.2 License to Use. Upon purchase of a subscription or digital product, and subject to your compliance with these Terms, FlexAbilities grants you a limited, non-exclusive, non-transferable, revocable license to access and use the purchased content for your personal, non-commercial use only. You may not: Copy, reproduce, modify, or create derivative works from the content (except as expressly permitted by us in writing). Share, resell, sublicense, or distribute the content or access credentials (including login details, streaming links, or downloads) to any third party. Make content available on any public or shared platform (including, but not limited to, social media, file-sharing sites, or shared drives) without our prior written permission. Any unauthorized use immediately terminates the license granted by FlexAbilities and may result in legal action.
4. Payments, Billing & Currency. 4.1 Payment Processing. All payments for subscriptions and digital products are processed through third-party payment gateways (for example, PayPal, Stripe, or Wix Payments) using SSL encryption. We do not store your full credit card or debit card numbers. Your payment information is handled by the payment provider under their own terms and privacy policies. You are responsible for reviewing and agreeing to the terms and conditions of any third-party payment provider used for your transaction. 4.2 Pricing & Currency. All prices displayed on the Site are in United States Dollars (USD) unless clearly stated otherwise. We reserve the right to change prices, subscription plans, and promotional offerings at any time, without prior notice, except where required by law. Applicable taxes may be added at checkout in accordance with local, state, or national laws. 4.3 Subscriptions & Renewals. If you purchase a subscription (monthly, yearly, or any other recurring plan): You authorize FlexAbilities and/or our payment processor to automatically charge your chosen payment method at the start of each billing cycle until you cancel. If a payment fails, we may attempt to reprocess the payment and/or suspend or terminate your access until a valid payment method is provided. We may change subscription fees or structures; if we do, we will provide notice of such changes where required by law, and they will apply to subsequent billing cycles.
5. Refunds, Cancellations & Return Policy. 5.1 Digital Products – No Refunds. Because our products and Services are digital and accessible immediately upon purchase, all sales are final and non-refundable, except where required by law. Once access is granted, digital products are considered “used.” We do not offer refunds or exchanges for dissatisfaction with the content, change of mind, or failure to use the Services. If you believe a purchase error occurred (for example, duplicate charges or technical issues preventing access), contact us at shelby.flexabilities@gmail.com with your transaction details. We will review and respond in good faith. 5.2 Subscription Cancellations. You may cancel your subscription at any time via your account settings. Cancellation will take effect at the end of your current billing period. You will retain access to the Services until that date, and your subscription will not renew thereafter. We do not provide partial or prorated refunds for unused portions of a billing period, except where required by applicable law.
6. Intellectual Property Rights. All content and materials on the Site, including but not limited to videos, images, text, graphics, logos, icons, designs, PDFs, software, and other digital materials (collectively, the “Content”) are the property of FlexAbilities or its licensors and are protected by copyright, trademark, and other intellectual property laws. You acknowledge and agree that: You do not acquire any ownership rights in the Content. Any unauthorized use, reproduction, or distribution of the Content is strictly prohibited and may violate applicable laws. “FlexAbilities,” our logos, and other marks are trademarks or service marks of FlexAbilities and may not be used without our prior written consent.
7. Health, Safety, Assumption of Risk & No Medical Advice. FlexAbilities provides training, stretching, flexibility, and movement-related educational content. This involves physical activity and carries inherent risks, including the risk of serious injury or death. 7.1 No Medical or Professional Advice. You understand and agree that: FlexAbilities does not provide medical, physical therapy, chiropractic, or other licensed healthcare services. Our content is educational and informational only and is not a substitute for medical diagnosis, treatment, rehabilitation, or personalized advice from a physician or other licensed health provider. No coach, instructor, or staff associated with FlexAbilities is acting in a licensed healthcare capacity when providing content through the Site. 7.2 Your Responsibilities. By using the Site or participating in any exercises, stretches, routines, or activities demonstrated in the Content, you represent and warrant that: You are voluntarily choosing to engage in physical activity. You either: (a) have been cleared by a physician or other appropriate healthcare provider to participate in flexibility and exercise activities; or (b) have chosen to participate without such clearance, and you assume all responsibility associated with that decision. You will immediately stop any activity if you experience pain, discomfort, dizziness, shortness of breath, chest pain, joint pain, sudden or sharp pain, or any other concerning symptoms, and you will seek appropriate medical evaluation if needed. You are solely responsible for: Evaluating whether an exercise, stretch, or program is appropriate for your current health and physical condition; Ensuring your environment is safe, including having adequate space, appropriate flooring, and no obstacles; Using any equipment properly and safely, according to manufacturer instructions and your own judgment. FlexAbilities cannot see or supervise you, cannot correct your form in real time, and cannot assess your physical condition. You acknowledge that you are solely responsible for the way you use the Content. 7.3 Inherent Risks of Physical Activity. You understand that participation in flexibility training, stretching, and exercise can involve known and unknown risks, including but not limited to: Muscle strains, sprains, and tears; Joint injuries, tendon or ligament injuries; Back, neck, or spinal injuries; Overuse injuries or aggravation of existing conditions; Loss of balance or falls; Serious events such as fainting, heart attack, stroke, paralysis, or death. By using the Site and participating in any activity based on the Content, you freely and voluntarily assume all such risks, whether or not they are foreseeable.
8. User Conduct & Prohibited Uses. You agree not to use the Site or Services to: Share your login credentials or provide unauthorized access to any third party. Copy, record, download, redistribute, or publicly display our videos or other Content (except as expressly allowed). Use any automated means (such as bots, scrapers, or scripts) to access, monitor, or copy the Site or Content. Interfere with or disrupt the security or proper functioning of the Site or Services. Attempt to reverse engineer any part of the Site or Services. Use the Services for any illegal or unauthorized purpose, or in violation of any applicable law or regulation. We reserve the right to suspend or terminate your access to the Site or Services, without refund, if we reasonably believe you have violated these Terms.
9. Third-Party Services & Links. Our Site may contain links to third-party websites or services, including payment processors and social media platforms. These are provided for convenience only. We do not control and are not responsible for the content, policies, or practices of third-party sites. Your use of third-party services is subject solely to their terms and privacy policies. Inclusion of any third-party link does not imply endorsement by FlexAbilities.
10. Privacy & Cookies. We use cookies and similar technologies to improve your experience, analyze usage, and support core Site functionality (such as login sessions and shopping carts). Cookies are small text files stored on your device. They cannot run programs or deliver viruses. Some cookies are “session cookies,” which are deleted when you close your browser; others are “persistent cookies,” which remain for a set period or until you delete them. You may control cookies through your browser settings, but disabling certain cookies may limit functionality of the Site. For more details about how we collect, use, and protect your personal data, please refer to our Privacy Policy (if available on your Site). If you do not agree with the use of cookies or our data practices, you should discontinue use of the Site.
11. Disclaimers. To the maximum extent allowed by law: The Site, Services, and Content are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied. We do not warrant that the Site or Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not guarantee specific results from the use of our Content (e.g., improvements in flexibility, performance, or health). We expressly disclaim all warranties, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of Liability. To the fullest extent permitted by law, and in light of the risks you voluntarily assume under Sections 7 and 17: FlexAbilities, its owners, employees, contractors, instructors, and affiliates shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of (or inability to use) the Site, Services, or Content, even if we have been advised of the possibility of such damages. To the extent any liability is not lawfully excluded, our total aggregate liability arising out of or related to these Terms, your use of the Site, or any purchase shall not exceed the amount you paid to FlexAbilities in the three (3) months immediately preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, our liability is limited to the maximum extent permitted by applicable law.
13. Indemnification. You agree to indemnify, defend, and hold harmless FlexAbilities and its owners, employees, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: Your use of the Site, Services, or Content; Your breach or alleged breach of these Terms; or Your violation of any law or the rights of a third party.
14. Changes to the Site & Terms. We may, at any time and without liability: Modify, suspend, or discontinue any part of the Site or Services; Update features, content, products, or pricing; Update or revise these Terms. If we make material changes to these Terms, we will update the “Last Updated” date above and may provide additional notice where required by law. Your continued use of the Site or Services after changes are posted constitutes your acceptance of the revised Terms.
15. Governing Law & Dispute Resolution. These Terms and any dispute arising out of or related to them or the Site shall be governed by and construed in accordance with the laws of the State of Alaska, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in the State of Alaska for the resolution of any disputes arising out of or relating to these Terms or your use of the Site, and you waive any objection to such courts based on venue or forum non conveniens, except where otherwise required by applicable law.
16. Miscellaneous.Entire Agreement: These Terms constitute the entire agreement between you and FlexAbilities regarding the Site and Services and supersede all prior agreements or understandings. Severability: If any provision of these Terms is held invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect. No Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to any affiliate or in connection with a merger, acquisition, or sale of assets.
17. Assumption of Risk, Waiver & Release of Claims. This Section is a material, legally-binding part of these Terms. Please read it carefully. By accessing or using the Site, purchasing a subscription or digital product, or participating in any activity based on the Content, you acknowledge and agree that: 1) Voluntary Participation. You are voluntarily choosing to engage in physical activities (including stretching, flexibility training, conditioning, and related exercises) demonstrated, described, or otherwise suggested in the Content. 2) Assumption of Risk. You understand and expressly acknowledge that physical activity involves inherent and unavoidable risks, including, without limitation, those described in Section 7.3, and you knowingly and freely assume all such risks, both known and unknown, including those that may arise from the acts or omissions (including ordinary negligence) of FlexAbilities or others, to the fullest extent permitted by law. 3) Waiver and Release. To the fullest extent permitted by applicable law, you fully and forever waive, release, and discharge FlexAbilities and its owners, employees, contractors, instructors, agents, and affiliates from any and all claims, demands, causes of action, damages, losses, costs, and expenses (including attorneys’ fees) arising out of or related to: Your use or misuse of the Site, Services, or Content; Your participation in any exercises, routines, stretches, or activities based on the Content; and Any injury, illness, or harm (including death) that you may suffer in connection with such participation, except to the limited extent that such waiver is prohibited by applicable law (for example, in certain cases of gross negligence or willful misconduct where such limitations are not allowed). 4) Parents/Guardians of Minors. If you are using the Services on behalf of a minor or permitting a minor to use your account: You represent and warrant that you are the minor’s parent or legal guardian (or have full authority from them). You acknowledge that all references to “you” in this Section include that minor. You assume all risks on behalf of the minor and agree to the waiver and release above on the minor’s behalf, to the maximum extent permitted by law. 4) No Class Actions. To the maximum extent permitted by law, you agree that any claim or dispute arising under these Terms will be brought on an individual basis only, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. If you do not agree to this Assumption of Risk, Waiver & Release of Claims, you must not use the Site or Services.
